My position: take the client, but only after you know exactly where this relationship would fail, because "large but difficult" is two claims and you've only measured one of them. The size is a number on a contract. The difficulty is still a feeling, and feelings are a poor basis for a decision this big.
In laser work, the dangerous failures come from pushing a system past a threshold nobody bothered to locate. A difficult client works the same way. Ask what specifically makes them hard. Late payment, scope that drifts, a decision-maker who rewrites requirements weekly, or an abusive tone each break a different part of your company, and each has a different price. Some are survivable with contract terms. Others will quietly eat your best people.
So test the limit cheaply before committing fully. Find out what share of your revenue and delivery capacity this client would occupy, and name the point where you'd walk away: say, more than 40 percent of revenue, or two scope changes without a change order. Then talk to one of their former vendors this week and ask how the relationship broke down, not whether it did.
If the failure modes are payment terms and scope, price and paper them. If the problem is how they treat your team, decline, because that threshold has no engineering fix.
